Terms of service

These terms of service (“Terms”) govern your use of EU Shop Kit, an app for Wix sites operated by Synexco Digital, B-13-06 Sunway Geo Residence, Bandar Sunway, 47500 Subang Jaya, Selangor, Malaysia, a business registered with the Companies Commission of Malaysia (SSM) under no. 202603052366 (SA0649630-T) (“we”, “us”, “our”). They form a contract between us and the business that installs EU Shop Kit (“you”, “Merchant”).

1. Acceptance

  1. You accept these Terms by installing EU Shop Kit on a Wix site through the Wix App Market, or by using it. If you accept them for a company or other organisation, you confirm that you’re authorised to bind it.
  2. EU Shop Kit is for businesses only. By accepting these Terms, you confirm that you use it for your trade, business or profession, and not as a consumer.
  3. The Data processing agreement is part of these Terms.
  4. Your use of Wix, and payments made through Wix, are also governed by Wix’s own terms. Wix is not a party to these Terms.

2. Definitions

3. The Service

  1. The Service is a technical implementation of features related to EU consumer law for shops built with Wix. Depending on your Plan, it includes an online withdrawal function with acknowledgement emails and an inbox, the EU harmonised notice on the legal guarantee, the display of product safety information, the display of prior prices for discounts and a compliance checklist. The help centre describes each feature.
  2. No legal advice. The Service is a technical tool. We don’t provide legal advice. Nothing in the Service, our help centre, the checklist, the compliance score or our law updates is legal advice. A complete checklist or a high score doesn’t mean that your shop meets every legal requirement.
  3. Your responsibility. You remain responsible for:
    • your shop’s compliance with the law in every country where you sell;
    • your legal texts, such as your terms and conditions, withdrawal policy, privacy policy and imprint;
    • the accuracy and completeness of the information you enter, including your business details, product safety information, manufacturer and responsible-person details, manually entered prior prices and your delivery-time setting;
    • handling withdrawals, returns and refunds;
    • your choice of settings, including switching features off.
  4. Estimates. Some information in the Service is an estimate based on the data available to it, such as the estimated end of a withdrawal period or a prior price based on the price history recorded since installation. Check estimates before you rely on them.
  5. Official texts. Where the law prescribes exact wording, the Service uses the official texts published in the Official Journal of the European Union. We don’t guarantee that the Service meets every national requirement in every country.
  6. Dependence on Wix. The Service depends on the Wix platform, its interfaces and the data Wix provides. Changes, restrictions or outages on Wix’s side can affect the Service.
  7. Warranty. We provide the Service with reasonable skill and care. Beyond that, and to the extent permitted by law, we give no warranties, for example that the Service is free of errors or uninterrupted.

4. Plans, prices and billing

  1. Each Plan includes the features described in the app and on our website at the time you choose it.
  2. You buy, pay for, renew and cancel paid Plans through Wix. Wix’s terms apply to payments, taxes, renewals and refunds.
  3. Prices are stated in US dollars per month, excluding VAT. Wix shows the final price in your currency.
  4. Paid Plans renew automatically for the same billing period until you cancel them in your Wix account.
  5. We may change the prices of paid Plans for future billing periods. We’ll tell you at least 30 days in advance.
  6. If you move to a lower Plan, or a paid Plan ends, the features of that Plan stop. Your Merchant Data and Shopper Data are kept.
  7. The online withdrawal function, the acknowledgement emails and the legal-guarantee notice are available on every Plan and are never limited by Plan.

5. Free plan

  1. The Free plan is free of charge.
  2. We provide the Free plan without any commitment on availability.
  3. We may change or end the Free plan with at least 30 days’ notice.

6. Acceptable use

  1. You may use the Service only for Wix sites on which you have installed it, and only in line with the law and these Terms.
  2. You must not:
    • enter content that is unlawful, misleading or infringes the rights of others;
    • try to get around Plan limits or security measures, or to access data of other merchants;
    • disrupt the Service, or test its load or security without our written permission;
    • copy, decompile or reverse engineer the Service, except where the law allows it;
    • use the withdrawal function or Shopper Data for any purpose other than handling withdrawals;
    • resell or sublicense the Service.
  3. You’re responsible for the content you provide, such as business details, product safety texts and links to documents. We may remove or disable content that is clearly unlawful.
  4. We may suspend the Service in whole or in part if you seriously breach these Terms or if your use creates a security risk. Where possible, we’ll tell you in advance and give you an opportunity to fix the issue.

7. Your data

  1. Merchant Data and Shopper Data remain yours. You grant us the rights we need to provide the Service.
  2. For Shopper Data, you are the controller and we are your processor. The Data processing agreement applies.
  3. Our Privacy policy explains how we process the personal data of merchants and their staff.
  4. On paid Plans, you can export your withdrawal records and your product safety data while the Service is installed.

8. Availability, maintenance and support

  1. We make reasonable efforts to keep the Service available. Unless we agree otherwise in writing, we don’t guarantee a specific availability, and the Free plan comes without any availability commitment.
  2. We may carry out maintenance. Where possible, we schedule it for times of low use.
  3. We provide support by email at support@eushopkit.com.

9. Changes to the Service and to law-driven texts

  1. We may develop and change the Service. We won’t materially reduce the core features of a paid Plan during a billing period you’ve paid for, unless the law, Wix or security reasons require it.
  2. When EU or national law changes, we may update official texts, labels and features to follow it. Such updates can take effect without prior notice when the law requires. We inform you of significant changes, for example through the law updates in the dashboard. We are not obliged to cover every change in the law.

10. Intellectual property

  1. We, or our licensors, own all rights in the Service, including the software, designs, texts and documentation.
  2. While these Terms apply, you have a non-exclusive, non-transferable right to use the Service for the Wix sites on which you’ve installed it.
  3. Official EU texts and artwork used in the Service come from EU institutions and are reused in line with their reuse policies.
  4. If you send us feedback or suggestions, we may use them freely.

11. Liability

  1. We are liable without limitation for damage caused by intent or gross negligence, for injury to life, body or health, and wherever the law doesn’t allow liability to be limited.
  2. In all other cases:
    • we aren’t liable for indirect or consequential damage, lost profit, lost revenue or business interruption, or, to the extent permitted by law, for fines, penalties or the costs of claims or warning letters from third parties;
    • our total liability for all claims arising from these Terms is limited to the fees paid for the Service in the 12 months before the claim arose.
  3. We aren’t liable for the acts, omissions or outages of Wix or of other third parties beyond our control.

12. Indemnity

You indemnify us against claims by third parties arising from content you supply to the Service, such as business details, product safety information, prior prices or links to documents, or from your breach of these Terms or of the law. We’ll tell you about such a claim promptly, let you control the defence, and cooperate with you reasonably.

13. Term and termination

  1. These Terms start when you install EU Shop Kit and continue until they’re terminated.
  2. You can terminate at any time by uninstalling EU Shop Kit. Cancel paid Plans in your Wix account.
  3. We can terminate with 30 days’ notice, or immediately for good cause, for example a serious breach of these Terms or if Wix no longer allows us to provide the Service.
  4. When you uninstall EU Shop Kit, its elements disappear from your storefront. Make sure your shop still meets its legal duties, for example by offering another online withdrawal function.
  5. We delete your Merchant Data and Shopper Data 30 days after you uninstall EU Shop Kit. If you reinstall within those 30 days, your data is restored. Export the data you need before you uninstall.
  6. Sections 10, 11, 12 and 15 continue to apply after termination.

14. Changes to these Terms

  1. We may change these Terms. We’ll tell you about material changes by email at least 30 days before they take effect.
  2. If you don’t agree, you can uninstall EU Shop Kit before the changes take effect. If you keep using the Service after that date, the changed Terms apply.
  3. Changes required by law can take effect sooner.

15. Governing law and courts

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of Malaysia. The courts of Malaysia have exclusive jurisdiction.

Mandatory provisions of the law that applies to you are not affected.

16. General

  1. These Terms, together with the Data processing agreement, are the entire agreement between you and us about the Service.
  2. If a provision is invalid, the rest of these Terms remains valid.
  3. We may transfer these Terms to an affiliated company or to a successor of our business. We’ll tell you if we do.
  4. We aren’t liable for failing to perform because of events beyond our reasonable control.
  5. We send notices to the email address of your Wix site owner. You can send notices to support@eushopkit.com.
  6. These Terms are written in English. Translations are for convenience only; the English version prevails.
